Will I receive regular reports on my investments?
You will receive periodic reporting about your specific investments on at least an annual and semi-annual basis. The Ocree team will maintain ongoing communication with the management of listed properties, and you will be updated on any changes to the status of your investments.
Reporting obligations will vary depending on the specific asset and will be determined by the issuer, in consultation with Ocree. These requirements will be clearly disclosed to investors prior to their investment.
Who makes business decisions on the investment on a day to day basis?
Depending on how the property is structured, you will be purchasing limited partnership interests that invest either directly into a property or into another structure that owns the property. The current owners of the properties will continue to manage and operate the assets with the assistance of their dedicated property managers and suppliers. These details will be provided as part of the due diligence package and will be updated should any changes occur to the operations of the asset.
Is there a minimum or maximum amount of money I have to invest?
Each property will have a designated minimum and maximum investment amount determined in collaboration with the property owner. The Ocree team will engage with the property’s ownership to assess and establish an investment range that aligns with the asset’s characteristics and market positioning.
The final determination of investment parameters will be made by the property owner, with strategic guidance from the Ocree team, ensuring alignment with both investment objectives and market conditions.
Does it cost money to register on Ocree?
No, completing the registration process is not committing you to invest in any properties nor does it cost any money in order to register.
How do I register for the OCREE platform?
To register, the person or business entity must qualify as an accredited investor. Before making a purchase, you will be required to provide documents to validate accredited investor status. Please reach out to one of our dealer representatives or visit our Register page to learn more.
How do I know how my investments are performing?
Ocree will oversee all ongoing communication with property managers to ensure that investors receive regular updates. Investors will be provided with comprehensive reports on their invested properties on both an annual and semi-annual basis, ensuring transparency and informed decision-making.
How do I know that the properties offered on the OCREE Platform are safe to invest in?
Ocree Capital, as an exempt market dealer, is regulated under securities laws in all provinces and territories in Canada, with the exception of Quebec, and as such adheres to strict regulatory requirements through our processes and offerings.
Ocree employs a comprehensive, multi-step review process to evaluate whether a property meets its stringent criteria for listing as an investment product. Additionally, all listed assets are subject to ongoing monitoring to ensure continued compliance with Ocree’s policies. The review process typically begins with the submission of a property for evaluation by the owner. Once received, the property undergoes a thorough assessment by Ocree Financial. Following this assessment, the property is presented to Ocree Capital's Product Committee for further evaluation.
Is OCREE Capital regulated by the Ontario Securities Commission?
Ocree Capital Inc. is regulated as an exempt market dealer in Ontario, BC, Alberta, Saskatchewan, Manitoba, Yukon, Northwest Territories, Nunavut, New Brunswick, Nova Scotia, PEI, Newfoundland and Labrador. Ocree Capital's principal regulator is the Ontario Securities Commission.
Is there a redemption opportunity for investments?
Your ability to transfer or redeem your tokens will be described in the individual property's subscription agreement. This will vary depending on the asset and terms of the offering. Ocree will make all reasonable efforts to assist investors in selling their interests or tokens through a bulletin board sale process. As demand for assets increases, Ocree will maintain a waiting list of investors interested in acquiring sold-out properties. When an investor decides to exit and sell their interest in a property, Ocree will, where possible, match the seller with investors from its waitlist for that specific property to facilitate the transaction. While Ocree will make commercially reasonable efforts to assist with the sale, the process may take time to complete. The details of this process along with any fees associated with it, will be clearly outlined in the offering documents provided to you.
Who decides when a property will be sold and removed from the OCREE platform?
Similar to day-to-day property operations, the decision to sell the asset remains at the discretion of the original ownership group that listed the property, subject to the oversight of Ocree GP Inc. Such decisions, along with other relevant scenarios, are clearly outlined in the offering documents which investors review prior to making a purchase.
In the event the current ownership group receives a bona fide offer to sell and wishes to do so, your tokens will be redeemed as described in the subscription agreement and you will receive the proportionate proceeds from the sale.
How often will I receive disbursements from my investment?
Investors will receive detailed reports on their invested properties on both an annual and semi-annual basis. Depending on how the property is structured and the nature of the investment, disbursements may be issued on a periodic basis, following the completion and review of the property’s annual financial statements.
For income generating properties, distributions will be set out in the offering documents.
Does it cost me anything to invest in properties on OCREE?
The fees applicable to any Ocree investment product are as set out in the documents on the Ocree Platform related to that product. The documentation also describes the costs that may be charged to you, the investor, as operating expenses (audit fees, legal fees, etc.). Ocree, acting in its capacity as an exempt market dealer, currently does not charge investors any fees for the operation of their account on the Platform. You will be notified of any changes in fees charged to you the Investor at least 60 days before the date on which a change of fee becomes effective.
Will I have the opportunity to review detailed property information before investing?
Yes, upon signing a Confidentiality Agreement, prospective investors will gain access to a comprehensive set of material on the underlying property. The offering documents will also contain summary information for each property. This package is designed to provide investors with a detailed understanding of the investment opportunity, including the offering terms, risk factors, and projected returns, ensuring they can make an informed investment decision.
How do I fund my OCREE account and receive disbursements?
Your Ocree account will be funded through a wire transfer. Disbursements will be done in a similar manner.
Can I register as an accredited investor individually and also invest with my business entity (Holding Company, PREC etc.)?
Yes, in Canada, you can register as an accredited investor individually and also invest through a business entity, such as a Holding Company, Personal Real Estate Corporation (PREC), or other corporate structures, provided that you and/or your entity meet the accredited investor criteria.
Key Considerations:
Investing as an Individual: You must meet at least one of the accredited investor thresholds (income, net financial assets, or net assets).
Investing Through a Business Entity: The entity itself must qualify as an accredited investor—typically by having at least $5 million in assets or if all voting shareholders are accredited investors. If your Holding Company or PREC is fully owned and controlled by you (as an accredited investor), it may qualify as an accredited investor under a look-through test, meaning your accreditation status extends to the entity.
Validation of Accredited Investor Status: Whether investing personally or through a corporate entity, you must disclose your status during the subscription process. Ocree Capital will request supporting documentation to confirm accreditation prior to your first purchase.
Ocree strongly recommends that investors consult with their accountant, legal counsel, or financial advisor to determine the most appropriate investment structure and to fully understand the tax and legal implications associated with their investment decisions.
What is a token?
A token is a digital representation of the underlying security. The terms of your ownership in the security will be set out in the offering documents for the specific investment opportunity.
What is an issuer?
The "Issuer" or "Property Management Group" is comprised of the original ownership entity of the property. The Issuer is responsible for the ongoing management and reporting for the property on behalf of the Investors.

Who manages the properties?
As part of Ocree’s rigorous listing review process, a comprehensive evaluation of each property's operations and management is conducted to ensure it meets professional standards. It is the responsibility of the listing ownership group to engage and deliver professional property management to oversee the asset’s operations.
Detailed information regarding the property management team will be included on the Ocree Platform, along with other important information, which is provided to investors for review prior to purchase.
Ocree will conduct ongoing monitoring of all listed properties, with specific deliverables throughout the time that the property is active on the Platform, to ensure they continue to be professionally managed and operated in accordance to Ocree standards, regulatory requirements and industry best practices.
Is there capital gains or other tax advantages to using OCREE?
When purchasing or selling a fractional interest in a real estate asset in Canada, there may be capital gains tax implications. There may also be potential tax advantages, depending on how the transaction is structured. Since real estate taxation can be complex and varies based on the investor's financial structure or status, Ocree highly recommends consulting a tax accountant or legal advisor to maximize tax efficiency and ensure compliance with Canadian tax legislation.

Can I decide to sell my property once it has been funded through the OCREE platform?
Yes, property owners generally retain the same rights they held prior to listing their property on the Ocree platform, subject to the oversight of Ocree GP Inc. These rights, along with all relevant details, are clearly outlined in the offering documents for each property, ensuring full transparency while maintaining compliance with all applicable regulatory requirements.
What type of properties does OCREE accept onto their platform?

No, most assets are expected to have some level of debt associated with them. As part of Ocree’s rigorous review process, the terms of the debt and the overall performance of the asset will be thoroughly evaluated to ensure compliance with Ocree’s listing standards and all applicable regulatory requirements. This assessment is designed to ensure that the asset remains an attractive investment opportunity for investors, ultimately facilitating a successful listing and sale.
What does it cost to list my property on the OCREE platform?
Property owners will be required to pay a listing fee based on the total capital raised for each asset. It is important to note that this fee is calculated based on the capital raised, not the total value of the property. The fee is payable by the property owner upon the successful closing of the transaction.
What happens if the property requires further investment, do investors pay additional money for improvements or other property requirements?
The client invests in the initial offering and will not be required to invest further while holding their investment. During the underwriting process for the property any potential expenses should be considered and managed for appropriately with cash reserves, debt or further investment if required.

Potential Investors are required to register prior to joining the Platform to view and purchase real estate. This is a simple process that is required the first time you enter the site and once complete a secure username and password is provided for access in the future. During the registration process the investor will be directed to our third party service provider called Sumsub that allows the step-by-step process for collecting relevant data on your investment profile and Accredited Investor status. This information is then reviewed by Ocree's Chief Compliance Officer. Any personal information is kept secured and confidential and will not be reproduced or released.

What is the difference between Ocree and a REIT or Crowdsourcing?
REITs are trusts that own, operate, or finance portfolios of income-generating real estate. Investors in REITs do not have the flexibility to invest directly into individual assets. Crowdsourcing platforms are mostly unregulated with limited visibility as to the management of the asset or due diligence done on the property prior or during the investment process. Ocree combines similar regulatory and compliance requirements of a REIT with the opportunity for investors to safely and securely invest directly into individual properties providing flexibility in investment choices and portfolio diversity.
