 FAQs

  • An exempt market dealer (EMD) is a firm registered under Canadian securities law that is authorized to distribute private market securities to accredited investors and other eligible purchasers outside of a public exchange. Ocree Capital Inc. is registered as an EMD with the Ontario Securities Commission (OSC) as its principal regulator, and operates across all Canadian provinces and territories with the exception of Quebec.

  • REITs pool capital across a portfolio of properties, meaning investors have no say in which specific assets they hold. Crowdfunding platforms are largely unregulated, with limited diligence and no formal compliance structure. Ocree is different on both counts. As a registered exempt market dealer, we operate under Canadian securities law with full regulatory oversight.  

  • Ocree is currently open to accredited investors and other exempt purchasers as defined under Canadian securities law. An accredited investor is generally an individual with net financial assets exceeding $1 million, net assets exceeding $5 million, or annual income exceeding $200,000 (or $300,000 combined with a spouse) in each of the two most recent years.
    All properties undergo Ocree’s stringent property review process to ensure they meet the necessary criteria for acquisition and transparency.

  • We are one of the first registered exempt market dealers in Canada purpose-built for private commercial real estate. Our platform automates the end-to-end transaction process through a single regulated system. We have also built a digital asset and tokenization capability and are working with regulators that would allow token-based issuance of securities in the Canadian market. In the meantime, all offerings are distributed as compliant limited partnership units through our EMD structure.
